Important: NuMeAi provides AI-powered business, marketing, content, social publishing, market intelligence, and ecommerce assistance. NuMeAi does not guarantee sales, revenue, ad performance, platform approval, search ranking, audience growth, or any particular business result. You are responsible for reviewing and approving content, campaigns, claims, budgets, targeting, and connected-account actions before use.
These Terms of Use (“Terms”) govern your access to and use of the websites, applications, dashboards, widgets, APIs, AI features, content tools, market intelligence features, social publishing features, and related services provided by Numa Ai Solutions, Inc. d/b/a NuMeAi (“NuMeAi,” “we,” “our,” or “us”) (collectively, the “Services”).
By using the Services, creating an account, connecting a store or social account, embedding our widget, generating content, or clicking to accept these Terms, you agree to these Terms and our Privacy Policy. If you use the Services for a company, store, brand, or other organization, you represent that you have authority to bind that organization.
NuMeAi helps businesses and online stores attract, convert, and retain customers through AI-powered tools. Features may include business profile setup, inventory and product catalog analysis, AI chat, product recommendations, market intelligence reports, campaign planning, image and copy generation, social content publishing or scheduling, analytics, and future advertising workflow features.
We may add, change, suspend, limit, or discontinue features at any time. Some features may be beta, experimental, limited by plan, subject to third-party approval, or available only in certain regions.
You must provide accurate account and business information and keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must promptly notify us of suspected unauthorized use.
You are responsible for confirming that any person who connects stores, social accounts, ad accounts, payment accounts, or third-party services to NuMeAi has authority to do so.
“Your Content” includes information, text, images, product data, inventory, prices, business details, brand materials, competitor inputs, social posts, prompts, instructions, customer chat data, and other materials you submit, upload, connect, or make available through the Services.
As between you and NuMeAi, you retain ownership of Your Content. You grant NuMeAi a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, create derivative operational outputs from, and otherwise use Your Content as needed to provide, secure, support, and improve the Services.
You represent that you have all rights and permissions necessary to provide Your Content and to allow NuMeAi to process it. You are responsible for your products, prices, offers, advertising claims, customer communications, privacy notices, and legal compliance.
The Services may generate AI-assisted outputs, including chat responses, product recommendations, captions, ads, emails, images, market intelligence reports, customer personas, competitor comparisons, budget suggestions, and campaign plans (“Outputs”).
Outputs may be inaccurate, incomplete, outdated, duplicated, offensive, non-compliant, or unsuitable for your business. You are responsible for independently reviewing, editing, verifying, and approving all Outputs before using, publishing, sending, relying on, or spending money based on them.
NuMeAi does not provide legal, tax, accounting, investment, financial, advertising compliance, platform compliance, or professional advice. Market intelligence and budget suggestions are business recommendations only and are not guarantees of results.
If you connect social, ecommerce, analytics, advertising, or other third-party platforms, you authorize NuMeAi to access and use those platforms according to the permissions you grant and these Terms. Connected platforms may include services such as Shopify, Meta/Facebook/Instagram, TikTok, and others.
You are responsible for complying with each connected platform’s terms, developer policies, content policies, ad policies, community guidelines, intellectual property rules, privacy requirements, and approval processes.
Some publishing flows may require additional actions outside NuMeAi. For example, TikTok or other platforms may require app review, approved scopes, creator authorization, draft completion, or final user action before content is publicly posted. NuMeAi does not guarantee that any platform will approve, publish, display, distribute, or monetize content.
NuMeAi may generate campaign drafts, target audience suggestions, budget recommendations, posting schedules, ad copy, creative concepts, and performance recommendations. Unless a separate written agreement expressly says otherwise, NuMeAi will not be responsible for final campaign approval, spend authorization, product claims, pricing accuracy, audience suitability, targeting legality, endorsement disclosures, or ad compliance.
You must review and approve campaigns before publishing or launching them. You are solely responsible for ad spend, platform fees, budgets, billing with third-party ad platforms, and results from campaigns that you approve, launch, schedule, or authorize.
You agree not to use NuMeAi to create deceptive, misleading, unlawful, discriminatory, or non-compliant ads or content. You are responsible for making required disclosures, including sponsored content, influencer, affiliate, testimonial, AI-generated, or material connection disclosures where applicable.
Some Services may be offered under free plans, trials, subscriptions, usage-based limits, or paid plans. Plan details, limits, pricing, included features, and trial periods may change over time. Unless otherwise stated, fees are non-refundable except where required by law or expressly stated in a separate written policy.
You authorize NuMeAi and its payment processors to charge applicable fees, taxes, and renewals. You are responsible for keeping payment information current. We may suspend or limit access for failed payments, excessive usage, abuse, or violation of these Terms.
You may not use the Services to:
The Services may rely on or link to third-party platforms, APIs, hosting providers, AI providers, payment processors, analytics providers, ecommerce platforms, and social networks. NuMeAi does not control third-party services and is not responsible for their actions, availability, policies, pricing, errors, downtime, data practices, approvals, or changes.
NuMeAi and its software, designs, interfaces, workflows, documentation, logos, trademarks, trade names, models, prompts, systems, and platform technology are owned by NuMeAi or its licensors and are protected by law. Except for rights expressly granted in these Terms, no rights are transferred to you.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMEAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.
We do not guarantee that the Services will increase sales, revenue, traffic, conversions, followers, engagement, ad performance, return on ad spend, customer satisfaction, ranking, or any other business metric. We do not guarantee that any AI Output, publication, integration, or campaign will be accepted by any third-party platform.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMEAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, AD SPEND LOSSES, PLATFORM SUSPENSIONS, CONTENT REMOVALS, OR FAILED CAMPAIGNS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUMEAI’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO NUMEAI FOR THE SERVICES IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) $100.
You agree to defend, indemnify, and hold harmless NuMeAi and its officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to: Your Content; your use of the Services; your products, offers, ads, campaigns, social posts, or customer communications; your connected accounts; your violation of these Terms; your violation of law or third-party rights; or your violation of third-party platform terms.
We may suspend or terminate access to the Services at any time if we believe you violated these Terms, created risk for NuMeAi or others, failed to pay fees, abused the platform, or used the Services in a way that may violate law or third-party platform requirements. You may stop using the Services at any time. Certain provisions will survive termination, including payment obligations, ownership provisions, disclaimers, liability limits, indemnities, and dispute provisions.
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, unless applicable law requires otherwise. You agree that disputes will be brought in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction and venue there.
Optional counsel review item: If NuMeAi wants mandatory arbitration, class action waiver, or special B2B dispute terms, those should be added after legal review to ensure enforceability in the target markets.
We may update these Terms from time to time. The “Last updated” date shows when these Terms were last revised. Material changes may be communicated through the Services or by other reasonable means. Your continued use of the Services after changes become effective means you accept the revised Terms.
